Terms of Service

These Terms of Service (“Terms”) govern your access to and use of RoundReady, a fundraising preparation platform available at roundready.site (the “Service”), operated by RoundReady (“we,” “us,” or “our”). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

RoundReady helps founders organize investor data rooms, track a readiness score, manage financial and cap table information, generate pitch deck outlines, and share curated information with investors via tokenized links. Some features (such as AI-assisted document classification, financial extraction, or deck generation) may be offered as beta or feature-flagged functionality and may change or be discontinued at any time.

2. Accounts

• You must provide accurate information when creating an account and keep your credentials confidential.
• You are responsible for all activity that occurs under your account.
• You must notify us promptly of any unauthorized use of your account.
• We may suspend or terminate accounts that violate these Terms or applicable law.

3. Your content and data

You retain all ownership rights in the documents, financial data, cap table entries, and other content you upload or create in the Service (“your content”). You grant us a limited license to host, store, process, and display your content solely as necessary to operate the Service and provide the features you use, including AI-assisted classification or extraction where enabled. You are solely responsible for the accuracy, legality, and appropriateness of your content, and for ensuring you have the right to upload it.

You are responsible for configuring share links appropriately. Anyone with a valid, unexpired share link can view the information that link is configured to expose, without needing to log in. Revoke links promptly when they are no longer needed.

4. Acceptable use

You agree not to:

• Upload content that is unlawful, infringing, fraudulent, or that you do not have the right to share.
• Use the Service to store or transmit malware or attempt to gain unauthorized access to other accounts or systems.
• Reverse engineer, scrape, or interfere with the Service’s normal operation.
• Use the Service in violation of applicable securities, financial, or data protection laws.
• Misrepresent your identity or affiliation with any company or organization.

5. Plans, quotas, and payment

The Service offers free and paid plan tiers with different feature quotas. Paid subscriptions are billed in advance on a recurring basis through our payment processor. Fees are non-refundable except as required by law or as expressly stated at the time of purchase. We may change plan pricing or features with reasonable notice; continued use after a change constitutes acceptance of the updated terms.

6. Investor readiness score and AI features

The readiness score, missing-document guidance, AI-assisted document classification, financial extraction, and pitch deck outline generation are provided for informational and organizational purposes only. They do not constitute financial, legal, tax, investment, or accounting advice, and do not guarantee fundraising outcomes, investor interest, or the accuracy of any extracted or generated content. You are responsible for independently verifying any figures, documents, or generated materials before relying on or sharing them.

7. Third-party services

The Service relies on third-party infrastructure and processors, including Supabase (authentication, database, storage), Railway and Vercel (hosting), Anthropic (optional AI features), Resend (email), and Stripe (payments). We are not responsible for the availability or performance of these third-party services.

8. Intellectual property

The Service, including its software, design, and branding, is owned by RoundReady and protected by intellectual property laws. Except for the limited license to use the Service as intended, these Terms do not grant you any rights to our trademarks, logos, or other intellectual property.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if we discontinue the Service, with notice where reasonably practicable. Upon termination, your right to use the Service ceases, and we may delete your content in accordance with our data retention practices described in the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI-GENERATED OR EXTRACTED CONTENT WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROUNDREADY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY (INCLUDING FAILED OR DELAYED FUNDRAISING), ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Governing law

These Terms are governed by the laws of the United States and the state in which RoundReady is organized, without regard to conflict-of-laws principles, unless otherwise required by applicable law.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
